1. Services
Apex OS is an AI agency that provides services including but not limited to:
AI automation setup
CRM implementation and management
Marketing automation
Lead generation systems
AI chatbot and voice agent solutions
Website and funnel development
SMS, email, and communication automation
Consulting and business optimization services
Third-party software integrations
We reserve the right to modify, suspend, or discontinue any service at any time.
2. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use our services.
By using Apex OS services, you represent that:
You will use the services lawfully
You own or have permission to use all data you provide
You will not use our services for spam, fraud, harassment, or illegal activity
3. Client Responsibilities
Clients are responsible for:
Providing accurate information
Maintaining the security of their accounts and passwords
Obtaining proper consent before contacting leads or customers
Compliance with applicable laws including TCPA, CAN-SPAM, GDPR, and local privacy laws
Reviewing AI-generated content before publishing or sending
Apex OS is not responsible for damages resulting from inaccurate client data, misuse of systems, or failure to comply with laws.
4. Payments and Billing
Fees for services are outlined in separate invoices, proposals, subscriptions, or agreements.
Unless otherwise stated:
Payments are due upon receipt
Subscription fees are billed automatically
Late payments may result in suspension of services
All fees are non-refundable unless otherwise agreed in writing
Clients authorize Apex OS and its payment processors to charge payment methods on file.
5. Intellectual Property
All Apex OS branding, systems, software, workflows, templates, graphics, documentation, and proprietary processes remain the intellectual property of Apex OS unless otherwise agreed in writing.
Clients retain ownership of their own business data, customer lists, and uploaded content.
Apex OS may use generalized knowledge, experience, and non-confidential learnings from projects to improve services.
6. AI Services Disclaimer
Apex OS utilizes artificial intelligence technologies and automation tools. AI-generated outputs may contain inaccuracies, incomplete information, or unintended results.
Clients understand and agree that:
AI outputs should be reviewed before use
AI systems may not always perform flawlessly
Results are not guaranteed
Apex OS is not liable for decisions made based on AI-generated outputs
7. Third-Party Services
Our services may integrate with third-party platforms including CRMs, communication providers, payment processors, hosting providers, and AI providers.
Examples may include:
GoHighLevel
OpenAI
Twilio
Stripe
Google services
Meta platforms
Apex OS is not responsible for outages, policy changes, pricing changes, data loss, or issues caused by third-party services.
Your use of third-party services is subject to their own terms and policies.
8. Confidentiality
Both parties agree to maintain the confidentiality of non-public business information shared during the course of the relationship.
Confidential information does not include information that:
Is publicly available
Was already known before disclosure
Is independently developed
Must be disclosed by law
9. Limitation of Liability
To the maximum extent permitted by law, Apex OS shall not be liable for:
Indirect or consequential damages
Loss of profits
Loss of business opportunities
Data loss
Service interruptions
AI-generated inaccuracies
Third-party platform failures
Our total liability shall not exceed the amount paid by the client to Apex OS in the previous three (3) months.
10. Indemnification
You agree to indemnify and hold harmless Apex OS, its owners, employees, contractors, and affiliates from claims, liabilities, damages, losses, and expenses arising from:
Your use of the services
Violation of these Terms
Violation of laws or regulations
Misuse of communication systems or AI tools
11. Termination
Either party may terminate services at any time unless otherwise stated in a separate agreement.
Upon termination:
Outstanding balances remain due
Access to systems may be revoked
Certain stored data may be deleted after a reasonable retention period
12. No Guarantees
Apex OS does not guarantee:
Specific revenue increases
Lead generation results
Business growth outcomes
Search engine rankings
Advertising performance
AI accuracy or uptime
Results depend on numerous factors outside our control.
13. Acceptable Use
You may not use Apex OS services to:
Send spam or unsolicited messages
Engage in unlawful marketing practices
Distribute malware or harmful code
Violate intellectual property rights
Harass or abuse individuals
Conduct fraudulent or deceptive activities
We reserve the right to suspend services for violations.
14. SMS Messaging Terms
By providing your phone number and opting into SMS communications from Apex OS LLC (“Apex OS”), you consent to receive text messages related to our services.
These messages may include:

15. Governing Law
